Get to know our alumni

Janni Hiltunen, Head of Corporate Advisory at Nordea, held various roles within Borenius' Capital Markets and FIR teams until 2021. We interviewed Janni to find out what her role involves today, which trends are currently shaping the banking sector, and what she learnt during her time at Borenius.

What role did you hold at Borenius and when?
"I started as an Associate in 2014 in the Capital Markets team and eventually worked as Counsel in both the Capital Markets and FIR teams until 2021. I advised on capital markets transactions, corporate and securities law, and on a wide range of financial market regulation issues. I also completed two secondments – in the legal department of Goldman Sachs' Investment Banking Division in London, and in the Capital Markets Financing legal department at OP Corporate Bank."

What has your career path been like since you left Borenius?
"Shortly after leaving Borenius, I joined Nordea's Group Corporate Legal unit as a Senior Legal Counsel. I now lead the Corporate Advisory team, where we handle corporate and disclosure matters, oversee and advise on governance and reporting processes, as well as brand IPR and insurance matters. Throughout my time at Nordea, I have also served as Secretary to the Board Audit Committee.”

What are the key trends in your work at the moment?
"We operate in a highly regulated industry, and the EU regulation targeting the banking sector continues to grow. Rules are sometimes overlapping or contradictory, and the regulators' expectations are rising. As a governance lawyer, I help the organisation navigate this complex environment, anticipate regulatory developments and align them with the bank’s governance and decision-making structures. AI is another defining trend, shaping working methods while also raising new questions around legal advice quality, accountability, and governance.”

Which skills from Borenius have been most useful in your subsequent work?
"Working in a fast-paced environment taught me to manage parallel projects and prioritise effectively. Working across different clients and teams built a strong foundation for stakeholder collaboration: how to communicate clearly, build trust and reconcile different perspectives."

What memory stands out most from your time at Borenius?
"A day spent at the “stock exchange revolving doors”: we attended a bell-ringing ceremony for a new listing, kicked off a new IPO project, and closed out a public takeover bid – all in one day. My best memories of Borenius, however, are of my colleagues: whether seeking advice on an assignment, chatting by the coffee machine, or partying at afterworks."
