Summer Greetings from Borenius
Dear Clients and Friends,
H1 has come to an end, and it has been a lively season for us at Borenius.
During the first half of the year, we have seen both interesting developments on the M&A market and have also had the privilege of welcoming many new partners to join our ranks. As the new Managing Partner, it is great to see that we now have a larger team, more partners, and a stronger firm than ever before.
In my new role, I will continue advising our clients in M&A projects, and once again, the month of June eventually turned out to be the busiest of the season for transaction lawyers. I’m proud of our whole team that has been serving our private equity, industrial and all other clients in a number of major transactions and projects.

Transaction Market Looking Brighter in 2024
The transaction market has shown promising signs of recovery and growth in 2024. We have witnessed an increase in deal activity across various sectors, driven by renewed investor confidence and strategic opportunities.
Our team has advised on several high-profile projects that underscore our expertise and commitment to delivering exceptional value to our clients. We anticipate continued momentum in the transaction market, bolstered by favourable economic conditions and innovative investment strategies.

- Borenius provides Finnish legal advice to Topdanmark A/S on Sampo plc’s recommended public exchange offer for the shares in Topdanmark A/S
- Borenius advised Granlund on a partnership with ICG
- Borenius advised Metso on EUR 150 million investment in a modern technology center in Tampere
- Borenius advised Finnish private equity firm Vaaka Partners on the transfer of Tietokeskus Group to a newly formed continuation vehicle
- Borenius advised Exel Composites on its EUR 21.8 million rights offering
- Borenius advised CapMan Buyout and the other shareholders on the sale of Havator
- Borenius advised PHM Group in connection with its EUR 300 million syndicated term loan B issuance
- Borenius advised the arrangers on YIT’s EUR 100 million issue of senior secured green notes and a consent solicitation relating to its existing notes
- Borenius advised Accountor Holding on the sale of its Outsourcing business to Aspia
- Borenius advised Aalto University Foundation on the issue of two bonds in the aggregate nominal amount of EUR 150 million

Team News and Key Appointments
During the first half of this year, we have had the chance to welcome new talents to our team and make significant internal appointments. These appointments reflect our commitment to meet the evolving needs of our clients.
Our Green Transition Team Strengthened with Three New Partners
In April 2024, we announced that our green transition roster grows in excellence and size as three market-leading experts join our ranks as partners. With Hanna Lehtinen, Heidi Malmberg, and Miika Pinomaa joining our multi-disciplinary team of experienced advisors, we will have market-leading capabilities to advise major clients on all aspects of their strategic projects and investments.
Johan Roman Appointed Managing Partner
Johan Roman was appointed Managing Partner on 1 June 2024. Prior to stepping into the role of Managing Partner, Johan headed the firm’s M&A and Private Equity team, and in his new role, Johan will continue advising our clients in demanding M&A projects. Johan succeeds Casper Herler, who completed his second term and will continue to head the firm’s leading cross-practice area focusing on large industrial investments and green transition projects.
Real Estate Transactions Expert Leif Laitinen Joins the Partnership
Most recently, we announced that real estate transactions expert, Leif Laitinen, will join our team after summer. Leif brings extensive experience in complex local and international real estate transactions, including real estate portfolio and fund investments, as well as sale and leaseback arrangements. He represents international, Nordic, and Finnish real estate funds, key investors, as well as private and public companies.
Borenius at the Forefront in Adopting AI in Legal Work
In upcoming years, AI will transform legal work processes and we are determined to be at the forefront of this development. While legal AI tools are still in their infancy, we believe that the pace of development will be enormous within the next few years or even months. We want to meet the evolving needs of our clients and by adopting AI tools in our processes, we get the chance to be the preferred partner for our clients also in the future.
