Season’s Greetings 2024

Dear Clients and Friends,

This year is coming to an end, and so are my first seven months as Managing Partner of the firm. It has been a pleasure to take the lead of the firm as the year has been special in many ways.

During the year, we have had the opportunity to welcome five new partners, which is record-breaking in the market. With these appointments, we have the capability to advise our clients on a wider range of projects both in Finland and abroad.

We have also witnessed some interesting developments in the market, such as the significant increase in data centre projects and technology-driven transactions. The forecast for next year’s market activity also looks promising, and as a transactional lawyer, that is great news.

I am proud of our entire team, who strive to serve our clients in the best possible manner every day throughout the year.

The transaction market has shown promising signs of growth in 2024, and the forecast for next year looks even brighter. We have witnessed an increase in deal activity across various sectors, driven by investor confidence, innovative initiatives and strategic opportunities.

Some global market trends include transactions related to SaaS, software and technology. Borenius has been advising on several major transactions in these sectors, e.g. the recapitalisation of M-Files, and on the sale of the majority ownership of Accountor to KKR.

The global landscape of green transition continues to develop. Despite slower-than-expected progress, our practice has been significantly involved in projects like data centres, battery energy storage, e-fuels and carbon capture, hydrogen infrastructure, and photovoltaic. In Finland, over EUR 280 billion is planned for clean transition, focusing on energy production, particularly wind power. While not all market expectations have been met, we remain optimistic and anticipate our advisory role in high-profile projects will continue to grow into 2025.

Despite changing market trends, it is important to remember that this is a peoples’ business. Our selected key references highlight how we create value as a team, both internally and with our clients and business partners, demonstrating our cross-practice expertise and collaborative approach in our projects.

  • Advised KPS on the Finnish aspects of the acquisition of INEOS Composites.
  • Advised Lifeline SPAC I on its pending de-SPAC combination with Canatu.
  • Advised Metso on EUR 150 million investment in a modern technology centre in Tampere.
  • Advised Citycon Group on its almost ten times over-subscribed EUR 350 million green bond issue and tender offer for certain NOK bonds.
  • Advised CapMan Infra and Skarta Energy on the project financing of a portfolio of two solar farms in Finland.
  • Provided Finnish legal advice to Topdanmark A/S on Sampo plc’s recommended public exchange offer for the shares in Topdanmark A/S.
  • Advised Tesi on its investment into Arctial – A major low-carbon aluminium production investment in Finland.
  • Advised Danske Bank as the sole bookrunner on Bioretec’s directed share issue.
  • Advised Helen in connection with their EUR 500 million syndicated revolving credit facility.
  • Advised on the majority ownership sale of Accountor Software to KKR.
  • Advised Sunborn International Holding on its combination with Rush Factory Plc.
  • Advised on the environmental permit for the BASF Harjavalta pCam plant, which is now legally final.
  • Advised Odevo on its acquisition of Retta Isännöinti.
  • Advised the lenders Santander and Rabobank in connection with a EUR 430 million project financing for the development of battery energy storage facilities.
  • Successfully represented Uponor Suomi and Uponor Infra before the Finnish Market Court.
  • Advised a club of three lenders on a EUR 210 million term and revolving credit facility for Musti Group.

A year of growth and new partnerships

This year has been full of positive developments for our firm, highlighted by the exceptional appointment of five new partners – which is unique on our market in terms of volume.

In summer, we strengthened our robust green transition team in excellence and size as Miika Pinomaa, Hanna Lehtinen, and Heidi Malmberg joined Borenius. This new team will add to our already strong capabilities in large energy and infrastructure sector projects as well as industrial investments. As autumn arrived, we welcomed two more partners with great track-records on transactions: Leif Laitinen, specialising in real estate, and Joel Kättö, an expert in M&A, energy and infrastructure. With these extensive partner appointments, we now have even better market-leading capabilities to advise major clients on strategic projects and investments.

Furthermore, in late September, we were pleased to announce that Kenneth Kraszewski has rejoined our New York representative office. This move aligned well with our strategy to support Finnish companies in entering and expanding within the United States. With the growing momentum in Finnish–US trade, we are now well-positioned to seize opportunities that could have a substantial impact on the Finnish economy.

Pro bono at the heart of our work

This year, our Christmas donation is dedicated to supporting sports activities for children and youth with disabilities. Our contribution will help increase participation in sports and physical activities, opening doors for more individuals to engage as enthusiasts or competitors.

The funds are being raised through a Christmas campaign organised by our long-term pro bono partner, the Finnish Paralympic Committee.

In addition to the Finnish Paralympic Committee, our pro bono partners for next year include Helsinki Pride, Icehearts, Oikismentorointi ry, and Young Office. We are also intensifying our focus on initiatives that support children and young people, driven by our commitment to empowering the next generation and fostering inclusive opportunities for their growth and development.
