Strengthening Borenius’ New York Team and Capital Markets Practice with Counsel Kenneth Kraszewski

We are happy to welcome Kenneth Kraszewski as Counsel to our New York and Capital Markets teams. Kenneth’s appointment is a further reflection of our strategy to help Finnish companies enter and expand in the United States. After spending 1.5 years at Sullivan & Worcester LLP in New York, Kenneth rejoined Borenius at the beginning of this month, having previously worked with us from 2019 to 2023 in New York and in Helsinki. He is based now in our New York office.

“We are very much looking forward to having Kenneth back. He will be a great asset to our deal execution on cross-border capital markets matters. More importantly, he will focus heavily on marketing our US services to our Finnish clients and will also resume some of the key roles he had earlier with certain clients on their US matters. There is a lot of momentum in Finnish–US trade, and we need to capitalize on this movement as it has a larger impact on the Finnish economy if Finnish companies are able to grow well in the US,” says Juha Koponen, Partner and Head of our Capital Markets team and rep offices in New York and London.

New York

Kenneth’s appointment underscores our goal to be the first point of call for Finnish companies that plan to enter or expand in the United States. In many matters, we work with specialist co-counsel in the US whom we know well, which enables us to provide smooth and cost-efficient execution for most of the legal needs that Finnish companies have when entering or operating in the United States. Our US counsel network is broad, covering nearly all states and practice areas, and it is something we have heavily invested in over a long period of time. We are unique in the sense that we can offer certain US law services to our clients locally and in a clear and a cost-efficient manner as well as to explain them in a Finnish context.

Kenneth has had a busy stint at Sullivan & Worcester’s capital markets group, working on several IPOs, numerous registered direct offerings, shelf takedowns, private investments in public equity, and de-SPAC transactions, in addition to general corporate matters. This includes skillful negotiation and drafting of underwriting and placement agency agreements, share purchase agreements, registration rights agreements, warrants and convertible notes, formulation of auditor comfort packages, provision of legal opinions and handling of other transactional documents. Overall, he brings with him recent first-hand experience on how to execute deals in the New York market.

Welcome back, Kenneth!
