Borenius acted as counsel for the lenders in the EUR 35 million financing of the acquisition of Secto Automotive

We acted as legal adviser to the lenders, Danske Bank A/S, Finland Branch, and Aktia Bank plc, led by Danske Bank A/S as agent, in the acquisition financing made available to Hartwall Capital Oy Ab for the purpose of financing the acquisition of the Secto Automotive group. The credit facilities consist of a EUR 25 million term facility and a EUR 10 million revolving credit facility.

Secto Automotive is a Finnish B2B car leasing operator challenging traditional car ownership models and creating new and sustainable solutions based on customer needs. Secto Automotive was founded in 2007 and currently employs over 100 specialists, with approximately 4,300 business customers and a fleet of over 10,000 vehicles. In 2023, Secto Automotive’s comparable turnover (IFRS) was EUR 226 million, resulting in an increase of 27 percent from the previous year.

Hartwall Capital Oy Ab is a Finnish family-owned investment company with roots in Oy Hartwall Ab, a beverage company established in 1836. The focus of Hartwall Capital’s investment portfolio is on Nordic small and medium-sized enterprises. The investment into Secto Automotive is made in partnership with Secto’s founder, Matias Henkola, who continues as a shareholder.
