Borenius advised Apetit on the sale of its grain trade business

We advised Apetit Plc on the sale of its grain trade business to Berner Oy. The transaction includes Avena’s Finnish grain trading business and grain warehouses and port operations in Finland. In 2021, the net sales of Apetit’s entire grain trade business amounted to EUR 164.5 million, of which the Finnish business accounted for EUR 73 million.

This was a complicated carve out transaction that involved multiple IP, IT, and operational TSAs between the parties. Our team was well prepared for this case as we had already provided advice to Apetit on the sale of the Baltic branch of its grain trade business.
