Borenius advised CapMan on acquiring controlling shareholding in JAM Advisors

We advised Helsinki listed CapMan Plc on acquiring controlling shareholding (approximately 60 % with a call option to aquire the full 100 %) in JAM Advisors Oy, a software tech driven reporting, analysis and wealth management firm. The purchase price will be paid with newly issued CapMan shares.

We provided CapMan with e.g. regulatory advice and assisted with filings with the FIN-FSA. In addition, we also conducted legal due diligence with a special emphasis on regulatory compliance, IP, IT and GDPR and advised CapMan on drafting and negotiating SPA, SHA, lock-up and key employee agreements. We also provided corporate and capital markets advice related to the share issue.
