Borenius advised Endomines on a change of domicile from Sweden to Finland, its listing on Nasdaq Helsinki, and an EUR 13 million IPO-style offering

We advised Stockholm and Helsinki main market listed Endomines AB (publ) (“Endomines AB”) on its domicile change from Sweden to Finland through a downstream merger with its subsidiary, Endomines Finland Oyj (“Endomines Finland”). The new listed entity, Endomines Finland, has been listed only on Nasdaq Helsinki as of 20 December 2022. In connection with the domicile change, Endomines Finland also successfully carried out an IPO-style public offering of EUR 13 million.

This cross-border project required precise coordination and timing, which was planned and executed together with Endomines’ Swedish legal counsel and other advisors. Borenius is very happy to have been able to assist its long-term client Endomines in its path to trying to reach its new long-term goals that are in line with its renewed strategy.

Endomines is a mining and exploration company with primary focus on gold. Endomines is engaged in mining operations at the Pampalo mine in Ilomantsi, and in exploration activities along the Karelian Gold Line in Eastern Finland. Endomines also owns rights to several gold deposits in Idaho and Montana, US, where Endomines aims to continue the development work through partnership agreements.
