Borenius advised leading private equity firm Thoma Bravo on the acquisition of Finnish project management platform Thinking Portfolio Oy

We advised Thoma Bravo on structuring the Thinking Portfolio Oy acquisition in addition to performing tax due diligence on the target company and assisting in the SPA drafting. The team was led by Partner Einari Karhu, who was primarily assisted by Senior Associate Max Malinen, Senior Associate Anna-Riikka Nummi, and Associate Simo Haapasalo.

Thinking Portfolio Oy was acquired by Hypergene AB, a Swedish cloud-based performance management platform company, which was acquired by Thoma Bravo in December 2023. The transaction represents an important and strategic acquisition, which strengthens Hypergene’s portfolio and offerings.

Hypergene enters the Finnish and Dutch markets through Thinking Portfolio’s existing customer base, which includes companies such as SSAB, Osuuspankki, the City of Espoo, HK Foods, Metsä Group, Finnair, and Orion.
