Borenius advised Norvestor and Rantalainen in connection with the acquisition of Klara Consulting Holding AB

We advised Norvestor and Rantalainen in connection with its acquisition of Klara Consulting Holding AB, a leading accounting, payroll and HR services provider in Sweden. The transaction is Rantalainen’s largest acquisition to date and it increases Rantalainen’s presence in Sweden, where it already owned two smaller businesses. Rantalainen is the largest financial administration services provider in Finland and after the acquisition it holds aggregated revenues of approximately EUR 141 million and has 1700 employees.

Klara Consulting, headquartered in Stockholm, is among the largest accounting and payroll services providers in Sweden, with a turnover of EUR 26 million and 300 employees. The sellers included private equity firm Ceder Capital with a majority share and fifty key employees, all of whom will continue as minority shareholders in the combined group.

We also advised Norvestor and Rantalainen in relation to the investments of Klara Consulting’s shareholders and employees into the parent company of Rantalainen group as well as in relation to the current facilities agreement to finance Klara Consulting’s acquisition.

The transaction received approval from the Swedish Competition Authority and was closed on 1 September 2023.
