We provided legal counsel to Sentinel Capital Partners in connection with a significant $1.43 billion transaction wherein Carrier divested its Industrial Fire division to Sentinel Capital Partners. This move aligns with Carrier’s strategic initiative to divest non-core assets and concentrate on its core business of heating and cooling equipment. The Borenius team played a pivotal role, offering essential support from the global legal due diligence phase of Marioff Corporation Oy to the establishment of the new entity, Marioff Buyer Oy.

Carrier’s Industrial Fire division is a global leader in fire detection and suppression solutions for high-hazard applications across various sectors, including critical infrastructure, oil & gas, marine, and clean energy. The transaction includes the sale of industry-leading brands, such as Det-Tronics, Marioff, Autronica, and Fireye. The division employs approximately 1,400 individuals and operates in more than 20 countries.
