Borenius advises Sunborn International Holding Oy on its combination with Rush Factory Plc

We are currently advising Sunborn International Holding Oy (SBIH) on its planned combination with Rush Factory Plc through a share exchange and listing on Nasdaq First North Growth Market Finland. The combination involves the formation of a new Sunborn International Group.

SBIH is part of the Niemi Family Office and is a pioneer in floating property development, having developed, owned, and operated yacht hotels and other floating real estate since 1998. SBIH currently owns and operates two international yacht hotels, located in London and Gibraltar, and is actively pursuing new projects in prime locations worldwide.

The combination values SBIH’s share capital at EUR 86.1 million. The share exchange is expected to be completed by the end of February 2025, subject to approval at Rush Factory’s extraordinary general meeting.
